These Terms and Conditions of Sale and Delivery apply exclusively to the supply of goods and services between businesses (B2B), in which Yleiselektroniikka acts as the seller. Deliveries do not include installation services unless specifically agreed upon in writing. Placing an order constitutes acceptance of these terms and conditions. Changes are valid only if agreed upon in writing. These terms and conditions do not apply to consumer sales.

The use of Yleiselektroniikka’s website is also subject to separate terms of use, a privacy policy, and a cookie policy.

All offers must be in writing and are valid for thirty (30) days, unless otherwise stated in the offer. The information presented on websites, in product catalogs, and in offers is for informational purposes only and does not form part of the contract.

Prices are based on the quote, price list, or order confirmation. Prices do not include value-added tax or shipping costs, unless otherwise stated. If the exchange rate changes by more than two (2) percent after the quote is issued, Yleiselektroniikka reserves the right to adjust prices accordingly.

Yleiselektroniikka reserves the right to accept or reject an order. Deliveries are made primarily under Incoterms® 2020 EXW terms, unless otherwise agreed. Partial deliveries are permitted. Delivery, handling, and packaging charges are determined in accordance with the quote, price list, or order confirmation.

Delivery, packaging, handling, and any invoicing surcharges will be charged in accordance with the price list, quote, or order confirmation in effect at the time. Yleiselektroniikka reserves the right to charge a minimum delivery fee for small orders. 

If a product is available from Yleiselektroniikka’s warehouse, orders received by 1:45 p.m. on weekdays (Mon–Fri) will be processed and shipped on the same business day whenever possible. This is a target time and not a binding delivery promise.

Offers for in-stock products may be subject to prior sale. In such cases, product availability may change during the offer’s validity period. 

If a customer picks up an order from a pickup location specified by Yleiselektroniikka, any fees related to the pickup service will be charged in accordance with the price list in effect at the time, unless otherwise agreed in writing.

The minimum order value for pickup orders placed through the online store is 10 euros (0% VAT).

The delivery times provided are based on the information available at the time of the order and are estimates, unless a binding delivery time has been expressly agreed upon in writing.

Yleiselektroniikka will notify the customer without undue delay of any material delivery delays of which it is aware, as well as their estimated impact on the delivery time.

If a delivery is delayed due to a manufacturer, supplier, carrier, government agency, or any other reason beyond Yleiselektroniikka’s control, Yleiselektroniikka shall not be liable for any damages resulting from the delay.

Unless otherwise agreed, payment terms are 14 days net. Late payments may be subject to late payment interest in accordance with the Interest Act, as well as reasonable collection costs.

If any delivery, packaging, handling, small-order, or billing surcharges applicable at the time apply to the order, they will be charged in accordance with the current price list, quote, or order confirmation.

Payment Service Provider

Montonio Finance UAB (305205122) acts as the payment intermediary and payment service provider in cooperation with Finnish banks and credit institutions. Montonio Finance UAB will appear as the payee on your bank statement or credit card bill and will forward the payment to the merchant. Montonio Finance UAB holds a payment institution license issued by the Bank of Lithuania. In the event of a complaint, please contact the product seller first.

Online Banking

The payment processing service for online banking payments is provided by Montonio Finance UAB in cooperation with Finnish banks and credit institutions. From the user’s perspective, the service works just like traditional online banking payments.

Title to the goods is transferred to the customer only after all amounts due under the contract have been paid. Risk of loss is transferred in accordance with the applicable delivery clause.

Yleiselektroniikka reserves the right to change the design, features, or availability of its products without prior notice. Information regarding a product’s country of origin is considered binding only if confirmed in writing.

Products are covered by a manufacturer’s warranty. The warranty does not cover defects resulting from misuse, improper installation, normal wear and tear, or unauthorized modifications. Warranty claims must be submitted in writing.

Before returning a product, the customer must contact Yleiselektroniikka and follow the provided return instructions. A product claimed to be defective may be requested to be returned for inspection.

The customer must inspect the delivery immediately upon receipt.

Any damage caused during shipping, missing items, incorrect products, or other delivery-related errors must be reported in writing no later than seven (7) days after receipt of the delivery.

If no complaint is filed within the specified time limit, the delivery shall be deemed to have met the requirements of the agreement with respect to the customer’s obligation to inspect the goods.

The customer agrees to comply with applicable export control and re-export regulations. The products may not be used for any purpose that violates international export control regulations.

The customer agrees that the products will not be delivered to sanctioned entities or used for prohibited purposes. Yleiselektroniikka reserves the right to suspend deliveries or terminate the contract if there is reasonable suspicion of a violation.

Yleiselektroniikka is not liable for consequential or indirect damages, such as production interruptions, lost profits, or damage to reputation. Total liability is limited to the value of the delivery or 10,000 euros, whichever is less. This limitation does not apply to damages caused intentionally or to liability under mandatory law.

Returns are accepted only with the seller’s prior approval. The product must be unused, in its original packaging, and in resalable condition. The customer is responsible for return shipping costs.

NCNR (Non-Cancellable, Non-Returnable) products, such as customer-specific or customized products, cannot be canceled or returned after the order confirmation.

The customer is responsible for the lawful use, storage, export, import, and labeling of the products. The customer releases Yleiselektroniikka from liability to the extent that any damage results from a breach of this obligation.

Yleiselektroniikka is not liable for delays or delivery failures resulting from force majeure. If the impediment continues for more than 14 days, the company has the right to suspend or cancel the delivery without being liable for compensation.

All intellectual property rights belong to Yleiselektroniikka or its licensors. The material may not be used without prior written permission.

The parties agree to keep confidential any business, technical, and commercial information they receive from each other, even after the termination of this agreement.

The customer agrees to comply with applicable anti-bribery laws and to report any suspected misconduct.

Personal data is processed in accordance with the GDPR and other applicable data protection laws. Yleiselektroniikka’s privacy policy is available upon request.

This agreement is governed by Finnish law. Disputes shall be resolved primarily through negotiation. If no agreement can be reached, disputes shall be resolved in the Helsinki District Court. Yleiselektroniikka has the right to transfer its rights and obligations under this agreement to a company within the same group or in connection with a business transaction.
